Agreement to our terms

We are Makai (referred to as "we", "us", or "our"), operating the website www.makai.farm and any related products and services that refer or link to these terms (collectively, the "Services").

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Makai, concerning your access to and use of the Services. By accessing the Services, you agree to be bound by these Terms. If you do not agree with all of these Terms, please do not use our Services.

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. Your continued use of the Services after any changes means you accept the revised Terms.

1. Our Services

Makai is a community-supported agriculture service operating in and around Bangalore, India. We offer customers the ability to reserve a plot on our farm, choose crops to be grown organically, and receive vegetable deliveries across a growing season.

The information provided through the Services is intended for use in India. Those who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

2. Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in our Services — including the website content, design, logo, photographs, illustrations, and the Makai brand name and marks. These are protected by copyright and trademark laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.

You may not copy, reproduce, republish, distribute, sell, or otherwise exploit any part of our Services or content for commercial purposes without our prior written permission.

3. User Representations

By using the Services, you represent and warrant that:

• You have the legal capacity to agree to these Terms
• You are at least 18 years old, or accessing on behalf of someone who is
• You will not access the Services through automated means (bots, scripts, etc.)
• You will not use the Services for any illegal or unauthorized purpose
• Any information you provide to us is true, accurate, and complete

If you provide information that is untrue or inaccurate, we may suspend or terminate your access to the Services.

4. Prohibited Activities

You agree not to:

• Use the Services for any purpose other than what we make them available for
• Systematically retrieve data to create a competing collection or database
• Mislead us or other users in any way, including attempting to learn sensitive information
• Use any information from the Services to harass or harm another person
• Submit false reports or misuse our support channels
• Upload viruses, malware, or any content that interferes with the Services
• Attempt to impersonate another user or person
• Interfere with or disrupt the Services or networks connected to them
• Harass, threaten, or intimidate anyone associated with the Services
• Use the Services in a manner inconsistent with applicable laws

5. Purchases and Payments

By placing a deposit or making a payment through the Services, you agree to provide accurate, current, and complete payment information. All payments are processed through Razorpay, our payment processor.

All prices listed on the Services are in Indian Rupees (INR) and inclusive of applicable taxes unless otherwise stated. We reserve the right to change pricing at any time, but changes will not affect deposits already placed.

By placing a deposit, you authorize us to charge the amount specified to your chosen payment method. Your deposit reserves your founding member spot but does not constitute final payment for vegetables. The remaining balance will be invoiced separately closer to the season start, and is subject to your final confirmation.

6. Refunds and Cancellations

Your deposit is fully refundable in the following circumstances:

• If you choose to cancel any time before the season start date
• If we are unable to launch the season for any reason
• If the crop list we offer does not suit your family's needs
• If we cannot accommodate your delivery area

To request a refund, contact us at hello@makai.farm. Refunds will be processed to the original payment method within 7-10 business days.

7. Service Delivery

We will make reasonable efforts to deliver the vegetables described in our offering across the agreed growing season. However, you acknowledge that:

• Farming outcomes depend on weather, pests, soil conditions, and other natural factors beyond our control
• Actual yield, crop mix, and delivery timing may vary from the stated estimates
• We will communicate proactively about any significant changes
• If we cannot meaningfully deliver on our commitments, we will offer pro-rated refunds

You agree to provide accurate delivery information and to receive deliveries at the scheduled times. We are not responsible for spoilage caused by your unavailability to receive deliveries.

8. Service Management

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Terms
• Take appropriate legal action against anyone who violates the law or these Terms
• Refuse, restrict, or limit access to any part of the Services in our sole discretion
• Manage the Services in a manner designed to protect our rights and property

9. Term and Termination

These Terms remain in effect while you use the Services. We may, at our sole discretion and without notice, deny access to the Services to anyone for breach of these Terms or for any other reason.

If we suspend or terminate your access, you may still request a refund of any deposits paid, subject to the Refund Policy.

10. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We do not guarantee the Services will be available at all times — we may experience technical problems or perform maintenance, resulting in interruptions or delays.

You agree that we have no liability for any loss or inconvenience caused by your inability to access or use the Services during downtime or modifications.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

12. Dispute Resolution

Informal Resolution. If you have any concerns or complaints, please contact us first at hello@makai.farm. We are committed to resolving issues directly and fairly.

Formal Resolution. If we cannot resolve a dispute informally within 30 days, the dispute shall be settled in accordance with the laws of India under the jurisdiction of courts in Bangalore, Karnataka.

13. Disclaimer

The Services are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties about:

• The accuracy or completeness of the Services' content
• The continuous availability or uninterrupted operation of the Services
• The specific yield, taste, or appearance of vegetables delivered (which depend on natural variability)

14. Limitation of Liability

In no event will we, our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Services.

Our total liability to you for any claim arising out of or related to these Terms or the Services, regardless of the form of action, is limited to the total amount you have paid to us in the twelve months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold us harmless (including our affiliates, officers, agents, and employees) from any claim, loss, or expense (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your breach of these Terms
• Your violation of any third party's rights, including intellectual property rights
• Any harmful act toward another user of the Services

16. Electronic Communications

By using the Services, sending us emails, completing forms, or contacting us via WhatsApp, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

17. Miscellaneous

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Services. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

If any provision of these Terms is found to be unlawful or unenforceable, that provision is deemed severable, and the remaining provisions will continue in full force and effect.

There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms.
